Terms of Service

1. Acceptance of Terms

Welcome to WiseHQ ("Service," "we," "us," "our"). By creating an account, accessing, or using our service, you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

WiseHQ is a cloud-based facility management platform designed primarily for churches, nonprofits, and small-to-medium organizations. Features include work order management, event scheduling, asset tracking, vendor management, document storage, AI-assisted workflows, and related tools.

3. User Accounts

To use the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must be at least 18 years old or have parental consent.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the Service
• Use the Service to harass, abuse, or harm another person
• Upload content that infringes intellectual property rights
• Scrape, crawl, or use automated means to extract data without our permission
• Resell, sublicense, or transfer access to the Service without authorization

5. Content and Ownership

You retain ownership of all content you upload to the Service ("User Content"). By uploading, you grant WiseHQ a non-exclusive, worldwide license to host, store, process, and display your User Content solely to provide the Service.

WiseHQ and its licensors retain all rights to the Service itself, including its code, design, trademarks, and documentation.

6. Safety, Compliance, and AI Disclaimers

Safety & Compliance Features: WiseHQ's safety and compliance tools are designed to assist with record-keeping and organization. They are not substitutes for licensed safety professionals, fire marshals, insurance inspections, or legal counsel. You are solely responsible for compliance with applicable laws and regulations.

AI Assistant: The WiseHQ AI Assistant, powered by Anthropic's Claude, may produce inaccurate or incomplete responses. AI output is provided for informational purposes only and should not be relied upon as legal, medical, financial, or professional advice. Always verify critical information independently.

E-Signature: WiseHQ's in-house signature capture feature provides basic functionality for internal use. For signatures that must meet the legal standards of the ESIGN Act (US), eIDAS (EU), or similar regulations, use our integrated third-party providers (DocuSign, Dropbox Sign, BoldSign). WiseHQ makes no warranty regarding the legal enforceability of in-house signatures.

Religious & Denominational Content: WiseHQ does not review, endorse, or moderate religious, theological, or denominational content uploaded by users. WiseHQ operates as a neutral platform and is not responsible for user-generated content.

7. Subscription, Billing, and Refunds

Paid plans renew automatically at the end of each billing period unless cancelled. You authorize WiseHQ (and our payment processor Stripe) to charge your payment method for all applicable fees, including storage add-ons and taxes.

Refunds are generally not provided for partial billing periods. If you cancel, you retain access through the end of the current paid period.

We may change pricing with at least 30 days' notice for existing customers. Continued use after the effective date constitutes acceptance of the new pricing.

8. Storage Limits and Overage

Each plan includes a specified amount of storage. If you exceed your limit, uploads will be blocked after a 7-day grace period. You can purchase additional storage add-ons at any time from Settings → Billing.

9. Termination

You may cancel your account at any time from Settings. Upon cancellation:

• Your account enters a 30-day grace period for recovery
• After 30 days, your data is permanently deleted
• You may export all your data before termination

We may suspend or terminate your access for violation of these Terms, non-payment, or any activity that poses risk to the Service or other users. We will provide notice except in cases of serious violation.

10. Third-Party Services

The Service integrates with third-party providers including but not limited to: Supabase (hosting, database, storage), Stripe (payments), Anthropic (AI), Resend (email), Cloudflare (DNS/CDN), Google Drive and Dropbox (document sync, if enabled), and DocuSign / Dropbox Sign / BoldSign (e-signatures, if enabled). Your use of integrations is governed by their respective terms.

11. Data Processing & Privacy

Our collection and use of personal data is governed by our Privacy Policy. For business customers subject to GDPR or similar regulations, a Data Processing Agreement is available upon request.

12. Service Availability

WiseHQ uses commercially reasonable efforts to maintain availability but does not guarantee uptime except as specified in a separately negotiated Service Level Agreement. Scheduled maintenance, third-party outages, and force majeure events may cause interruptions.

13. Multi-Tenancy

WiseHQ is a multi-tenant platform. Each customer organization's data is logically isolated using row-level security and encryption but hosted on shared infrastructure. We employ industry-standard practices to prevent cross-tenant access.

14. Beta Features

Features marked "Beta" or "Experimental" are provided as-is, may be unstable, removed without notice, or billed separately when graduating to general availability.

15. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WISEHQ'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID WISEHQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WISEHQ BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

17. Indemnification

You agree to indemnify and hold WiseHQ harmless from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service, your violation of these Terms, or your User Content.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, USA, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Indiana, except that either party may seek injunctive relief in court for intellectual property violations.

19. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated by email and in-app notice at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the new Terms.
